1. About these terms
These Terms & Conditions ("Terms") govern your access to and use of the ORLA Portal and related services (the "Services"). ORLA Portal is a business of Melbourne Finance Brokers Pty Ltd (ABN 74 151 721 112) ("we", "us", "our", "ORLA Portal"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2. The Services
The ORLA Portal is a secure online client portal that lets you share and electronically sign documents, communicate with us, and view and track work, projects and requests relating to the services we provide to you. The portal is delivered using third-party software, which we manage on your behalf.
3. Your account
- Access is by invitation. You are responsible for keeping your login details confidential and for all activity that occurs under your account.
- You must provide accurate information and keep it up to date.
- Please notify us immediately if you believe your account has been accessed without authorisation.
4. Acceptable use
You agree not to misuse the Services. In particular, you must not: use the Services for any unlawful purpose; upload material you do not have the right to share; attempt to gain unauthorised access to any part of the Services or other users' data; or interfere with the security or operation of the platform.
5. Your content and documents
You retain ownership of the documents and information you upload ("Your Content"). You grant us the permissions necessary to store, process and display Your Content for the purpose of providing the Services to you. You are responsible for ensuring you have the right to share Your Content with us.
6. Electronic signatures
Where you sign a document electronically through the portal, you agree that your electronic signature is valid and binding to the same extent as a handwritten signature, to the extent permitted by law.
7. Intellectual property
The ORLA Portal brand, design and content (excluding Your Content) are owned by or licensed to us and are protected by law. You may not copy, reproduce or use them without our written permission.
8. Availability
We aim to keep the Services available and secure, but we do not guarantee uninterrupted access. The Services may occasionally be unavailable for maintenance, updates or reasons beyond our control.
9. Disclaimers and liability
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these Terms limits any rights you have under the Australian Consumer Law that cannot lawfully be excluded. To the extent we may limit our liability, our total liability to you is limited to resupplying the Services or the cost of doing so.
10. Privacy
Our handling of your personal information is described in our Privacy Policy, which forms part of these Terms.
11. Suspension and termination
We may suspend or end your access to the Services if you breach these Terms or if we stop providing the Services. You may stop using the Services at any time.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here with a revised "last updated" date, and your continued use of the Services means you accept the changes.
13. Governing law
These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
